1. What FundBuildSell™ is

FundBuildSell™ is a private project and investor management platform designed for real estate builders raising capital under SEC Regulation D Rule 506(b). It is not a registered broker-dealer, investment adviser, funding portal, or securities exchange. The platform provides tools for managing investor relationships, compliance documentation, and project communications.

2. Builder responsibilities

• Builders are solely responsible for the legality of their offerings under applicable federal and state securities laws.
• Builders must file Form D with the SEC within 15 days of first sale.
• Builders must verify that all investors meet accreditation standards before accepting commitments.
• Builders may not use the platform for fraudulent, misleading, or deceptive representations.
• Builders are responsible for maintaining copies of all compliance documents.

3. Investor acknowledgments

By using the platform as an investor, you acknowledge that: (a) investments in private real estate offerings are speculative and illiquid; (b) you meet the definition of an accredited investor under SEC Rule 501; (c) you have signed all required SEC disclosures; (d) FundBuildSell™ does not provide investment advice; and (e) you are responsible for your own due diligence.

4. Realtor network terms

Realtors accepted into the FundBuildSell™ network agree to maintain an active real estate license, disclose all material conflicts of interest, and represent builders professionally in accordance with NAR standards. Access may be revoked for cause at any time.

5. Subscriptions and billing

Builder subscriptions are billed monthly or annually via Stripe. Subscriptions auto-renew unless cancelled. Beta lifetime access is a one-time purchase with no recurring fees. Refunds are not available for partial months or lifetime purchases.

6. Limitation of liability

FundBuildSell™ is provided "as is" without warranties of any kind. In no event shall FundBuildSell™ or FGI Capital Partners be liable for any indirect, incidental, or consequential damages arising from your use of the platform, including investment losses, missed filings, or data breaches outside of our reasonable control.

7. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Texas.
